Prop.com End-User License Agreement (EULA)

This End-User License Agreement (“EULA”) is a legal agreement between you and Prop.com (“the Company”). This EULA governs your acquisition and use of the Prop.com software (“Software”) directly from Prop.com or indirectly through an authorized reseller or distributor (“Reseller”).

Please read this EULA carefully before completing the installation process and using the Prop.com software. It provides a license to use the Prop.com software and contains important warranty information and liability disclaimers.

Acceptance of EULA

By clicking “accept,” installing, and/or using the Prop.com software, you confirm your acceptance of the Software and agree to be bound by the terms of this EULA.

If you are entering into this EULA on behalf of a company or another legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority, or if you do not agree with the terms of this EULA, do not install or use the Software, and you must not accept this agreement.

This EULA applies only to the Software provided by Prop.com, regardless of whether other software is referred to or described herein. The terms also apply to any updates, supplements, internet-based services, and support services for the Software, unless other terms accompany those items on delivery.

License Grant

Prop.com hereby grants you a personal, non-transferable, non-exclusive license to use the Prop.com software on your devices in accordance with the terms of this EULA.

You are permitted to install the Prop.com software on devices under your control (e.g., PC, laptop, mobile, or tablet). You are responsible for ensuring that your device meets the minimum system requirements of the Prop.com software.

You are not permitted to:

• Edit, alter, modify, adapt, translate, or otherwise change the whole or any part of the Software, nor permit the Software to be combined with or
• incorporated into any other software, nor decompile, disassemble, or reverse engineer the Software or attempt to do any of these actions.
• Reproduce, copy, distribute, resell, or otherwise use the Software for any commercial purpose.
• Allow any third party to use the Software on your behalf or for the benefit of any third party.
• Use the Software in a way that breaches any applicable local, national, or international law.
• Use the Software for any purpose that Prop.com considers a breach of this EULA.

Intellectual Property and Ownership

Prop.com retains ownership of the Software as originally downloaded by you and all subsequent downloads. The Software (including any modifications made) and all related copyrights and intellectual property rights remain the property of Prop.com.

Prop.com reserves the right to grant licenses for the use of the Software to third parties.

Termination

This EULA is effective from the date you first use the Software and shall remain in effect until terminated. You may terminate this agreement at any time by providing written notice to Prop.com.

This EULA will also terminate immediately if you fail to comply with any of its terms. Upon termination, the licenses granted by this agreement will immediately cease, and you must stop using the Software. Certain provisions of this EULA, by their nature, will survive any termination of this agreement.

Limitation of Liability

The Software is provided "as is" and "as available," without warranties of any kind. Prop.com does not guarantee the accuracy, reliability, or timeliness of the Software. You assume all risks associated with the use of the Software.

In no event shall Prop.com, its affiliates, or licensors be liable for any indirect, special, incidental, or consequential damages arising from your use or inability to use the Software.

Governing Law

This EULA, and any dispute arising out of or in connection with this EULA, shall be governed by and construed in accordance with the judicial system of the jurisdiction specified in the Terms and Conditions.

Amendments to this Agreement

Prop.com reserves the right to amend or modify this EULA at any time. Any changes will be communicated to you, and by continuing to use the Software after such changes, you agree to be bound by the revised EULA.
